Acceptances
All sales are subject to and expressly conditioned on the buyer’s acceptance of the Terms and Conditions of Sale set forth herein. Seller will not be bound by any alteration of these Terms and Conditions of Sale unless it is agreed to in writing and signed by an officer or other authorized representative of seller.

Condition of Sales
Several of CSI’s products are exclusively available for research purposes, according to the US Food and Drug Administration (FDA). Title 21, Sections 312.9 and 809.10 of the Code of Federal Regulations expressly specify that such research goods are only for investigational use in laboratory research animals or in vitro study. Unless specifically labeled for in vitro diagnostic usage, all CSI products are for research or manufacturing use only. Human therapeutics should not be used with these products.
Information about pricing and content
CSI Inc. provides e-commerce applications to a wide range of markets and clients, including end-users, distributors, and other wholesalers around the world. Pricing is valid for end-users in the United States and a few other select foreign markets where CSI sells directly. If you already have a CSI account, please log in using your email address and password to check your current account pricing. If your account has a different price list, the pricing at the product level will change after you log in.
All sales are subject to CSI’s clearance and evaluation, which will take in to account current distribution agreements in various global countries. If an item is offered at an inaccurate price or you are ineligible to order such item(s), CSI reserves the right to refuse or cancel any orders placed for that item at its sole discretion. Any order submitted online by a new customer is subject to approval, new account screening, and the application process at CSI. No orders will be accepted or sent until the new account process is completed.
Acceptance of the Order
Before any shipment is made, CSI must evaluate and approve all orders. We have the right to refuse or cancel any order for any reason at our sole discretion. At our sole discretion, your account may be limited or cancelled for any reason.
You will not be charged until your payment method has been approved, the order information has been validated for accuracy, and your product has been sent. Limitations on available quantities, mistakes or omissions in product or pricing information, or difficulties found by our credit and accounting department are all possible reasons for your order being canceled. Before approving any order, we may demand extra verifications or information. If your order is canceled in whole or in part, or if additional information is required to accept your order, we will contact you.
Agreements on Pricing
CSI provides quotations in US dollars with a 30-day validity period, although quotes are subject to change by CSI at any moment and without notice. Please visit our New Customers Area or email sales@coolingsource.com for a quote. Our Distribution Agreements may also determine prices.
Terms of Payment and Credit
CSI demands new clients to pay in advance for their first order. CSI may, at its discretion, create credit and payment terms, which are normally net 30 days, based on products ordered and other considerations.
Shipping Policies
CSI uses express shippers such as FedEx, UPS, and DHL, as well as freight forwarders such as Tigers or MAP Cargo. CSI can, however, ship via other air forwarders, but it is the obligation of the customer to guarantee that the shipper complies with our transportation requirements. Unless otherwise specified, all shipments are shipped freight collect unless the order is prepaid and includes freight expenses. All items will be appropriately packed for transportation, according to the manufacturer’s agreement. After delivery to the carrier for transportation, the buyer bears the risk of loss due to product damage or destruction. All orders are subject to the buyer’s approval.
Transport & Storage Conditions
If the transportation period is shorter than five days and the temperature is less than 30°C, immunoassay goods can be shipped at room temperature. Transport must be completed in less than two days in warmer climates or seasons (i.e., temperatures above 30°C).
Product(s) must be kept refrigerated (2oC to 8oC) at Customer’s warehouse or end-user location upon delivery. Our Sales Agreements contain further information. Biomaterials may have varying criteria, which will be addressed with the customer at the time of sale.
Date of Expiration
CSI guarantees a shelf life of at least 12 months from the date of shipment. Expiration dates are allocated by lot depending on the included components as connected to the manufacturing dates of available inventories, and stability claims are found in the product Technical File.
Samples for Evaluation
It is our policy to supply distributors with immunoassay kit samples for a small price. Please contact the CSI sales team at sales@coolingsource.com to request “Distributing CSI.” The basic terms of business are discussed in this paper.
Handling Special Situations
A handling fee applies to products that require specific packing, such as dry ice.
Returns
Without prior authorization from CSI, no returns will be accepted. To assess return eligibility and restocking fees, please contact sales@coolingsource.com.
Policy on Exports
You recognize that commodities acquired from CSI, including technology and software, are subject to US customs and export control rules and regulations, as well as the customs and export control laws and regulations of the country in which the products are created and/or received. By purchasing, downloading, or using technology or software from CSI’s website or FTP, you agree to follow all applicable laws, rules, and regulations, including but not limited to the Export Administration Act, and you represent and warrant that you will not transfer the software or technology to a third party, whether by electronic transmission or otherwise.
Registration & Documentation for Exports
Original copies of our FDA Export Certificate or CE Declaration of Conformity are available from CSI. Download ISO and DHS certifications from our website’s Support section. We are happy to cooperate with you and/or their import agency if the government(s) in your market(s) require additional approvals.
Certificates of Authenticity
CSI will email all Certificates of Analysis for the included product batches at the time of shipment, showing that quality control criteria were satisfied. You may also use our online COA Search to find any quality certificate by product lot number and download it. All transactions, including invoices that indicate product lots included with each sale, can be found in the Customer Center.
Technical Documentation
CSI may provide a design output for each immunoassay to explain the product’s design, packaging and appearance, performance, and active components if you need detailed product information for internal or government requirements.
Disclaimer
CSI assures that items will meet the specifications mentioned at the time of shipment (to the original purchaser only). Buyer acknowledges and agrees that if any of CSI’s products are found to be defective (as determined by CSI QC) at any point during their shelf life, despite having been properly shipped and stored, buyer’s sole remedy is either the replacement of the defective product or the issuance of a financial credit equal to the purchase price. Buyer accepts that CSI will not be liable for any real, consequential, punitive, or other damages, personal injury, loss of business, profit, or any other reason.
Indemnification
Buyer agrees to indemnify and hold CSI and its officers, employees, and authorized successors in interest harmless from and against any claim, action, proceeding, liability, loss, damage, cost, or expense, including without limitation, attorneys’ fees as provided in this agreement, arising out of buyer’s willful misconduct, negligent or intentional misrepresentation, negligence, errors or omissions, breach of contract, or other conduct, including without limitation, attorneys’ fees as provided in this agreement.
Choice of Law and Location
These Terms and Conditions of Sale are entered into in the State of California and shall be governed by and construed in accordance with the laws of the State of California, exclusive of its choice of law rules, to the extent they are not pre-empted by federal law. Each party to these Terms and Conditions of Sale consents to the exclusive jurisdiction of the state and federal courts in Orange County, California, and waives any jurisdictional, venue, or inconvenient forum objections to such courts.
The successful party in any action to enforce these Terms and Conditions of Sale is entitled to costs and attorney fees. If any of the Terms and Conditions of Sale are found to be unenforceable by a court or other tribunal of competent jurisdiction, those portions will be reduced or removed to the extent necessary so that the remainder of the Terms and Conditions will remain in full force and effect.

The section titles, captions, and headings in the immediate Terms and Conditions of Sale are included solely for convenience and reference, and are not intended to define, limit, or extend the extent of these Terms and Conditions or the intent of any of their provisions.
Interpretation
These Terms and Conditions of Sale shall be interpreted in accordance with their fair meaning, rather than exclusively in favor of or against the buyer or seller.
