By placing an order, the customer (\u201cBuyer\u201d) agrees to the terms below.<\/p>\n<h2>1. B2B Sales Only \u2013 No Consumer Rights<\/h2>\n<p>All sales are <strong>B2B commercial transactions<\/strong>. Consumer protection laws governing returns, cooling-off periods, or implied refund rights <strong>do not apply<\/strong>.<\/p>\n<p>Unless expressly agreed in writing, <strong>all sales are final<\/strong>.<\/p>\n<h2>2. Custom &amp; Engineered Products (No Returns \/ No Refunds)<\/h2>\n<p>Products that are <strong>custom, engineered, or manufactured to Buyer specifications<\/strong>, including but not limited to:<\/p>\n<ul>\n<li>Custom heatsinks and thermal assemblies<\/li>\n<li>Machined or fabricated components<\/li>\n<li>Prototypes, tooling, and first articles<\/li>\n<li>Defense, aerospace, and controlled programs<\/li>\n<\/ul>\n<p>are <strong>NON-CANCELABLE, NON-RETURNABLE, AND NON-REFUNDABLE<\/strong>\u00a0once an order is accepted or production has started.<\/p>\n<h2>3. ITAR &amp; Export-Controlled Products (Strict No-Return Policy)<\/h2>\n<p>Products, technical data, software, drawings, or assemblies subject to <strong>U.S. export control laws<\/strong>, including <strong>ITAR and EAR<\/strong>, are subject to enhanced restrictions.<\/p>\n<h3>ITAR-Controlled Items Are:<\/h3>\n<ul>\n<li><strong>Non-cancelable<\/strong><\/li>\n<li><strong>Non-returnable<\/strong><\/li>\n<li><strong>Non-refundable<\/strong><\/li>\n<\/ul>\n<p><strong>Without exception<\/strong>, including:<\/p>\n<ul>\n<li>Program cancellation<\/li>\n<li>Schedule changes<\/li>\n<li>Funding delays<\/li>\n<li>Customer or end-user error<\/li>\n<\/ul>\n<p>Unauthorized return or attempted return of ITAR-controlled items constitutes a <strong>material breach of contract<\/strong>.<\/p>\n<h2>4. Buyer Certification &amp; Compliance<\/h2>\n<p>By placing an order, Buyer represents and warrants that:<\/p>\n<ul>\n<li>Buyer is authorized to receive export-controlled items<\/li>\n<li>Buyer will comply with all applicable U.S. export control laws<\/li>\n<li>Buyer will not export, re-export, transfer, disclose, or allow access to controlled items or technical data to unauthorized persons or destinations<\/li>\n<\/ul>\n<p>Buyer assumes <strong>full responsibility<\/strong>\u00a0for end-use, end-user, and regulatory compliance.<\/p>\n<h2>5. Non-Conforming or Defective Products (Limited Remedy)<\/h2>\n<p>Claims for manufacturing non-conformance must be submitted <strong>in writing within 10 calendar days of delivery<\/strong>.<\/p>\n<p>If validated, Cooling Source\u2019s <strong>sole and exclusive remedy<\/strong>, at our discretion, is limited to:<\/p>\n<ul>\n<li>Repair<\/li>\n<li>Replacement<\/li>\n<li>Credit<\/li>\n<\/ul>\n<p><strong>Cash refunds are not guaranteed and will not be issued for ITAR-controlled products.<\/strong><\/p>\n<p>Physical return of ITAR items is prohibited unless explicitly authorized in writing.<\/p>\n<h2>6. Standard (Non-Custom, Non-ITAR) Products<\/h2>\n<p>If a product is explicitly identified in writing as <strong>standard and non-controlled<\/strong>:<\/p>\n<ul>\n<li>Return requests must be submitted within <strong>10 days of delivery<\/strong><\/li>\n<li>Product must be unused and in original condition<\/li>\n<li>An approved <strong>RMA<\/strong>\u00a0is required<\/li>\n<li>A <strong>restocking fee of up to 25%<\/strong>\u00a0may apply<\/li>\n<li>Buyer pays all shipping, handling, and insurance costs<\/li>\n<\/ul>\n<h2>7. Shipping Terms \u2013 Ex-Works (EXW)<\/h2>\n<p>Unless otherwise agreed in writing, all shipments are <strong>Ex-Works (EXW)<\/strong>.<\/p>\n<ul>\n<li>Risk of loss transfers to Buyer upon departure from our facility<\/li>\n<li>Shipping damage, delays, or loss are the Buyer\u2019s responsibility<\/li>\n<li>Carrier claims must be filed by Buyer<\/li>\n<\/ul>\n<h2>8. International Sales<\/h2>\n<p>For international transactions:<\/p>\n<ul>\n<li>Buyer is responsible for duties, taxes, tariffs, customs clearance, and import compliance<\/li>\n<li>Refunds or credits will not be issued due to:\n<ul>\n<li>License delays or denials<\/li>\n<li>Customs issues or seizures<\/li>\n<li>Regulatory or geopolitical changes<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<h2>9. Order Cancellations<\/h2>\n<p>Orders may not be canceled once production has begun.<\/p>\n<p>If cancellation is approved <strong>in writing<\/strong>\u00a0prior to production:<\/p>\n<ul>\n<li>Buyer is responsible for all incurred costs (engineering, materials, labor)<\/li>\n<li>No guarantee of refund or credit<\/li>\n<\/ul>\n<h2>10. No Chargebacks<\/h2>\n<p>B2B chargebacks are not permitted. Unauthorized chargebacks may result in:<\/p>\n<ul>\n<li>Immediate account suspension<\/li>\n<li>Collection action<\/li>\n<li>Legal remedies<\/li>\n<\/ul>\n<h2>11. Limitation of Liability<\/h2>\n<p>Cooling Source shall not be liable for indirect, incidental, or consequential damages, including lost profits or downtime.<\/p>\n<p>Total liability shall not exceed the <strong>amount paid for the specific product<\/strong>\u00a0giving rise to the claim.<\/p>\n<h2>12.
