These Terms and Conditions (\u201cTerms\u201d) govern all sales of products and services by Cooling Source<\/strong>\u00a0(\u201cSeller\u201d) to business customers (\u201cBuyer\u201d). All transactions are B2B only<\/strong>.<\/p>\n

1. Scope & Acceptance<\/h2>\n

All quotations, sales, and deliveries are expressly limited to these Terms. Any additional or conflicting terms proposed by Buyer are rejected unless expressly agreed to in writing by Seller.<\/p>\n

2. Products & Specifications<\/h2>\n

Products include custom and standard thermal management solutions, including heatsinks, cold plates, and related assemblies. Specifications are based on Buyer-provided requirements. Buyer is solely responsible for verifying suitability for the intended application.<\/p>\n

3. Pricing & Payment<\/h2>\n

  • Prices are quoted in U.S. dollars unless stated otherwise.<\/li>\n
  • Payment terms are Net 30<\/strong>, subject to credit approval.<\/li>\n
  • Late payments may incur interest at 1.5% per month<\/strong>\u00a0or the maximum rate allowed by law.<\/li>\n
  • Buyer is responsible for all applicable taxes, duties, and customs fees.<\/li>\n<\/ul>\n

    4. Delivery & Risk of Loss<\/h2>\n

    All shipments are EXW (Ex Works)<\/strong>\u00a0per Incoterms\u00ae 2020, Seller\u2019s facility. Title and risk of loss transfer to Buyer upon availability for pickup.<\/p>\n

    5. Returns & Refunds<\/h2>\n
      \n
    • Custom or modified products are non-cancelable and non-returnable (NCNR).<\/strong><\/li>\n
    • Standard products may be returned only with prior written authorization (RMA).<\/li>\n
    • Returned items must be unused and in original condition.<\/li>\n
    • Refunds, if approved, may be subject to restocking fees.<\/li>\n<\/ul>\n

      6. ITAR & Export Compliance<\/h2>\n

      Buyer acknowledges that certain products, technical data, or services may be subject to U.S. export control laws<\/strong>, including the International Traffic in Arms Regulations (ITAR)<\/strong>\u00a0and\/or Export Administration Regulations (EAR)<\/strong>.<\/p>\n

      Buyer agrees that it shall:<\/p>\n

        \n
      • Not export, re-export, transfer, or disclose any controlled items without proper U.S. government authorization<\/li>\n
      • Comply with all applicable export control, sanctions, and embargo laws<\/li>\n
      • Not provide products or technical data to prohibited end users, end uses, or restricted countries<\/li>\n<\/ul>\n

        Seller makes no representation that products are exportable to Buyer\u2019s destination.<\/p>\n

        7. Confidentiality & NDA<\/h2>\n

        All non-public technical, commercial, and defense-related information is confidential. Buyer agrees to protect such information and use it solely for legitimate business purposes. Defense-grade confidentiality obligations apply where applicable.<\/p>\n

        8. Limited Warranty<\/h2>\n

        Seller warrants that products will conform to agreed specifications at time of shipment.
        \nEXCEPT AS EXPRESSLY STATED, ALL WARRANTIES\u2014INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS\u2014ARE DISCLAIMED.<\/strong><\/p>\n

        9. Limitation of Liability<\/h2>\n

        Seller shall not be liable for indirect, incidental, or consequential damages, including lost profits. Seller\u2019s total liability shall not exceed the amount paid by Buyer for the affected product.<\/p>\n

        10. Force Majeure<\/h2>\n

        Seller shall not be liable for delays or failures due to causes beyond its reasonable control, including supply chain disruptions, government actions, or export restrictions.<\/p>\n

        11. Governing Law<\/h2>\n

        These Terms are governed by the laws of the State of California<\/strong>, without regard to conflict-of-law principles. Venue shall lie exclusively in that jurisdiction.<\/p>\n

        12. Entire Agreement<\/h2>\n

        These Terms constitute the entire agreement between the parties and supersede all prior communications unless modified in writing by Cooling Source.<\/p>\n<\/div>\n
